Limitation of Liability
The User agrees to hold the Service Provider, Officers and Employees, harmless from any and all claims, losses, damages, liabilities, costs, and expenses, including reasonable attorney’s fees, arising out of or in connection with the services provided under this Agreement. This indemnification will extend and apply to any claim brought against the Service Provider by a third party, and is limited to the amount actually paid for the services rendered by the Service Provider to the Client. The Client acknowledges that this limitation of liability is a key element of the bargain between the parties, without which the Service Provider would not have agreed to provide the services. This clause shall survive the termination or expiration of this Agreement.
Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any legal suit, action, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the courts of Hillsborough County, Florida, notwithstanding any other provision of law permitting an action to be initiated elsewhere. The parties irrevocably submit to the exclusive jurisdiction of the courts located in Hillsborough County, Florida, and waive any objection to the venue being in Hillsborough County, as provided by the procedures of the Thirteenth Judicial Circuit Court. This includes any dispute, claim, or controversy that may arise out of or in connection with the Agreement, which shall be subject to the jurisdiction of the Hillsborough County courts as per the guidelines established by the Florida Courts. Any venue provision requiring legal action to be brought outside the state of Florida is void as a matter of public policy.
